Apostilla de documentos de LLC: qué documentos sí y cuáles no
Cuando tu LLC USA necesita operar legalmente en Argentina, México, Colombia, Chile, Perú, España o cualquier país firmante del Convenio de La Haya, los documentos societarios deben estar apostillados. Esta guía detalla cuáles son apostillables, cuáles no, y cómo armar el paquete completo según el escenario.
Documentos de LLC que SÍ se apostillan
- Articles of Organization / Certificate of Formation — documento de constitución de la LLC emitido por el state Division of Corporations. Se solicita «certified copy» al state SoS, después se apostilla.
- Certificate of Status / Certificate of Good Standing — confirma que la LLC está activa y al día con el state. Tiene fecha de emisión, escribanos extranjeros suelen exigir < 90 días.
- EIN Letter (CP575 o IRS 147C) — confirmación del IRS del Employer Identification Number. Para bancos LATAM y AFIP/SAT/DIAN.
- Operating Agreement — documento privado de la LLC. Requiere notarización por notary public USA antes de apostillar (porque es privado, no emitido por organismo público).
- Resoluciones corporativas, consents y autorizaciones — documentos privados que requieren notarización previa.
- Annual Report filed — copia del reporte anual presentado al state, certificada por SoS.
Documentos que NO se apostillan (o necesitan tratamiento especial)
- Tax returns (Form 1120, Form 1065, 5472): el IRS no certifica los returns. Para uso internacional, conviene pedir un «Tax Return Transcript» oficial del IRS que sí puede apostillarse vía U.S. Department of State (no Florida SoS — porque es documento federal).
- Bank statements: los bancos USA no emiten documentos apostillables. Si tu país receptor exige acreditar movimientos, pedile al banco una carta de referencia firmada por bank officer + notarizada por notary public.
- Invoices y contratos con clientes: son documentos privados. Si necesitás darles validez internacional, certificá firmas con notary + apostilla.
- Sitio web, redes sociales, marketing material: no son documentos legales, no se apostillan.
