For LLCs that never filed anything

Your LLC never filed? You're still in the cheap scenario.

Thousands of LLCs formed online never filed Form 5472 or renewed with their state. The IRS doesn't warn you: the penalty starts at USD 25,000 per form. The good news: filing late by your own decision, with a well-built explanation, is a different — and almost always cheaper — case than waiting for the letter.

A large part of my practice is rescues: LLCs opened online that two years later owe returns, have an expired agent and an entity at risk of dissolution. No lecture — a plan with a flat price and a calendar so it never happens again.

Frequently asked questions

Will I definitely get fined?

The penalty doesn't necessarily arrive today, but the IRS's right to assess it never expires while you don't file. Voluntary filing with reasonable cause is the best available defense; no one can guarantee the outcome — and anyone who guarantees it is lying to you.

What if my LLC never made a dollar?

Form 5472 must be filed anyway: it reports that the LLC exists and who is behind it, not how much it sold. Your initial contribution and any expense you paid out of pocket already count as reportable transactions.

I formed the LLC with doola, Firstbase or another platform — can you take it over?

Yes. Nothing needs to be re-formed and you don't need to switch registered agents to file the pending returns.

How long does it take?

With your complete information, the filings go out in days, not months. What usually takes longest is gathering the company information — we give you the exact list on day one.

Better a diagnosis today than an IRS letter in March.

Three questions or a fifteen-minute call. Either way you leave knowing what your LLC owes and what it costs to fix it.
